⚖️ AFETOP Petroleum — Activity-Specific Terms & Conditions

1. Scope and Incorporation

These Activity-Specific Terms & Conditions (“Petroleum Terms”) apply specifically to the use of petroleum.afetop.com and to the Oil & Gas and petroleum‑related activities presented or facilitated through the website.

These Petroleum Terms supplement and form part of the AFETOP Group — General Terms & Conditions (“General Terms”). The General Terms apply to all matters not specifically addressed by these Petroleum Terms. Where these Petroleum Terms expressly address a matter specific to AFETOP Petroleum and conflict with the General Terms regarding that matter, these Petroleum Terms shall prevail for the relevant activity.

2. Nature of AFETOP Petroleum Activities

AFETOP Petroleum operates as a professional business intermediary and facilitator in the international Oil & Gas and petroleum sector. Depending on the specific mandate or engagement, AFETOP may facilitate relationships involving:

  • crude oil
  • refined petroleum products
  • EN590 diesel
  • Jet Fuel
  • D2 and other petroleum products
  • fuel oil and marine fuels
  • LNG, LPG and other energy commodities
  • suppliers, refineries, title holders and authorized mandates
  • buyers, end buyers and authorized representatives
  • commercial intermediaries and brokers
  • logistics and other transaction participants

AFETOP's precise role shall depend on the applicable mandate, authorization or transaction documentation.

3. No Seller or Buyer Representation

Unless expressly stated in a written agreement, AFETOP is not the seller, producer, refinery, title holder, buyer or owner of any petroleum product presented through the website.

AFETOP may act as an intermediary, facilitator, representative, introducer or business development party for authorized parties. References to sellers, refineries, suppliers, mandates or buyers do not constitute a representation that AFETOP itself owns, controls or guarantees the underlying commodity.

4. Product Information and Availability

Information concerning petroleum products, including product specifications, quantity, origin, loading location, delivery location, pricing, procedures, availability, commercial terms, and logistics may originate from third parties or be subject to change.

Important: Such information is not a binding offer unless expressly incorporated into a duly authorized written offer or contractual document. Availability, pricing, quantities and delivery conditions must be independently confirmed through the applicable transaction process.

5. Buyers, Sellers and Authorized Representatives

Parties engaging with AFETOP Petroleum may be required to demonstrate their identity, corporate status, authority, purchasing capacity, selling authority or other relevant credentials. AFETOP may require appropriate corporate, banking, commercial or compliance documentation before proceeding with a transaction.

A person claiming to represent a seller, refinery, buyer or other principal must be able to demonstrate appropriate authority. AFETOP may refuse to proceed where such authority cannot be reasonably established.

6. Due Diligence and Compliance

AFETOP may conduct or coordinate preliminary due diligence on parties participating in petroleum transactions. Such procedures may include verification of:

  • corporate identity
  • beneficial ownership
  • authority to transact
  • commercial capacity
  • banking information where appropriate
  • mandate documentation
  • sanctions and compliance considerations
  • transaction legitimacy

Due diligence does not constitute an absolute guarantee of a party's future performance or solvency. AFETOP may suspend or terminate discussions where compliance concerns arise.

7. Transaction Procedures

Petroleum transactions may be subject to specific procedures established by AFETOP or by authorized transaction parties. Such procedures may require sequential submission or verification of documentation before certain commercial information is disclosed.

AFETOP may restrict disclosure of seller identity, refinery identity, loading location, confidential commercial documentation, mandates, or contractual information until the relevant procedural, compliance or contractual requirements have been satisfied. No user is entitled to confidential transaction information merely because they have accessed the website or submitted an inquiry.

8. Banking and Financial Information

Where a petroleum transaction requires evidence of financial capability, banking comfort, proof of funds or other financial documentation, the applicable requirements shall be communicated through the relevant transaction procedure or agreement. AFETOP does not guarantee the validity, acceptance or execution of any banking instrument or financial communication. Any bank-to-bank communication remains subject to the policies, procedures and independent decisions of the relevant financial institutions.

9. Commercial Offers and Procedures

Indicative prices, procedures, commercial structures and transaction flows published or communicated by AFETOP may be subject to confirmation by the relevant authorized parties. A commercial indication shall not constitute a binding sale contract unless expressly documented and executed by the parties with authority to enter into that contract.

10. Intermediaries and Commissions

Where AFETOP participates as an intermediary or is entitled to a commission, fee or other compensation, the relevant rights shall be established through appropriate written agreements. Intermediaries and representatives must not make unauthorized representations concerning AFETOP, its principals, sellers, buyers or transaction partners. Non-circumvention and commission protection may be governed by separate contractual instruments.

11. Third-Party Sellers and Suppliers

AFETOP may present opportunities involving independent sellers, suppliers, refineries, title holders or their authorized representatives. AFETOP does not guarantee:

  • ownership of the commodity
  • uninterrupted supply
  • refinery production
  • title
  • export authorization
  • product availability
  • logistical performance
  • contractual performance by third parties

The relevant contractual parties remain responsible for their respective obligations.

12. International Trade and Regulatory Compliance

Petroleum transactions may be subject to international laws and regulations relating to sanctions, export controls, import controls, customs, anti-money laundering, counter-terrorist financing, anti-bribery and corruption, trade restrictions, environmental requirements, and transportation and shipping regulations. Parties are responsible for complying with the laws applicable to their respective activities and jurisdictions. AFETOP may decline to facilitate a transaction where it considers that material compliance concerns exist.

13. No Guarantee of Transaction Completion

Submission of an inquiry, buyer request, corporate documents, proof of funds or other information does not guarantee that AFETOP will facilitate or complete a transaction. A transaction may fail, be delayed, suspended or terminated for commercial, regulatory, logistical, financial, compliance or other reasons.

14. Separate Transaction Contracts

Actual petroleum sales and purchases shall be governed by separate transaction documentation, which may include offers, purchase orders, sales and purchase agreements, mandates, representation agreements, confidentiality agreements, non-circumvention agreements, commission agreements, shipping and logistics documentation, and other transaction-specific documents. Those documents govern the specific transaction according to their terms.

15. Website Content

Petroleum.afetop.com is intended to provide professional information and facilitate legitimate business communication. No website content should be interpreted as confirmation that a particular petroleum product is currently available unless expressly stated and confirmed through the applicable transaction process.

16. Applicable Legal Framework

The AFETOP Group General Terms apply to this website together with these Petroleum Terms. The provisions concerning applicable law and jurisdiction contained in the General Terms apply unless a separate written transaction agreement provides otherwise.
